Welcome to FooAcademy Logic (hereinafter referred to as "The Platform"). The Platform is a proprietary educational technology service provided by FooAcademy Tech Lab ("The Provider"). By accessing or using the Platform, you agree to be bound by these Terms.

1. Nature of Service & SaaS Definition

The Platform is a Software-as-a-Service (SaaS) solution powered by our proprietary Logic Engine™ technology. It is designed to provide academic visualization, Mastery Learning tracking, and adaptive testing.

The Platform is currently in a "Public Beta" phase. The Provider grants the User a non-exclusive, non-transferable, revocable license to use the Platform. This license does not constitute a sale of the software or its underlying code.

2. Intellectual Property Rights (The "Container" vs "Water")

We strictly distinguish between the "Platform Technology" (owned by Provider) and "User Content" (owned by You/Institution).

2.1 Platform Ownership (FooAcademy Tech Lab)

You acknowledge that the Platform's architecture, including but not limited to the Source Code, Database Schemas, Algorithms, Logic Engine, UI/UX Design, and General Question Banks (created for public utility), remains the sole property of the Provider. Unauthorized copying, mirroring, or "cloning" of this system is strictly prohibited.

2.2 Institutional Content Ownership

If you are an Institutional User (e.g., a School), specific teaching materials, video lectures, and exam questions created specifically during your employees' working hours and uploaded to your private dashboard remain the property of the Institution.

3. Account Designation & Data Access (Important)

3.1 Default Status: Individual Personal Accounts
By default, all accounts registered on this Platform are classified as "Personal Accounts." The academic data generated (scores, error logs) belongs to the individual user.

3.2 Institutional Dashboard Activation
If an Educational Institution wishes to claim data ownership or monitor student progress, the Institution must explicitly request an "Institutional Dashboard" activation from the Provider.

3.3 Data Isolation
Until an account is officially linked to a verified Institutional Dashboard, the Institution has no right to access, view, or export the user's historical data. The Provider protects individual user privacy and will not merge personal data into institutional records without explicit authorization.

4. Prohibited Conduct

You agree to use the website only for lawful purposes. You expressly agree NOT to engage in the following:

Systematic Data Collection: Using robots, spiders, scrapers, or other automated means to access, monitor, or copy any part of the website, especially systematically copying our Question Banks.
Reverse Engineering: Decompiling, disassembling, or attempting to derive the source code or underlying algorithms of the Logic Engine.
Account Sharing: Sharing your login credentials with others. One account is for one student only.
Security Circumvention: Attempting to probe, scan, or test the vulnerability of the system or breach security measures.

5. Disclaimer of Warranties ("As-Is")

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS. FooAcademy Tech Lab expressly disclaims all warranties of any kind. We do not guarantee that:

The service will be uninterrupted, timely, secure, or error-free.
The results obtained from the use of the service will be accurate or reliable.
Any data downloaded from the system will be free of viruses or malwares.

6. Limitation of Liability

To the fullest extent permitted by law, the Provider shall not be liable for any indirect, incidental, or consequential damages, including loss of data or profits, resulting from the use or inability to use the service, or from unauthorized access to your data (hacking) despite our reasonable security measures.

7. Governing Law

These Terms shall be governed by the laws of the People's Republic of China. Any dispute arising out of or relating to these Terms shall be submitted to the People's Court of Changping District, Beijing for resolution.
